General Terms and Conditions (T&C) for Welding-Spares.com

1. Scope and Contracting Parties
1.1 These Terms and Conditions (hereinafter “T&C”) apply to all orders placed by business customers (hereinafter “Customer”) through the online shop Welding-Spares.com (hereinafter “Shop”) operated by Welding-Spares GmbH (hereinafter “Seller”). 1.2 By placing an order, the Customer expressly agrees to these T&C. Any differing or additional terms of the Customer shall not apply unless the Seller has expressly agreed in writing to their applicability.
2. Definitions
For the purposes of these T&C, the following definitions apply:
- Customer: Any natural or legal person acquiring goods from Welding-Spares.com in the course of their commercial or independent professional activities.
- Products: All goods offered in the online shop. This specifically includes spare parts for welding machine lines of the brands Schlatter and EVG.
- Delivery: The initial handing over of the ordered Products to the delivery address provided by the Customer.
- Shop: The online shop accessible at www.welding-spares.com.
- Impressum: The page on the website containing all contact details, the address, and other legally relevant information about the Seller.
3. Conclusion of Contract
3.1 The presentation of the Products in the Shop does not constitute a legally binding offer but is only an invitation to place an order (invitatio ad offerendum).
3.2 By clicking the “Order” button, the Customer submits a binding offer to conclude a purchase contract. The contract is concluded only upon the Seller’s acceptance of the order, for example via an order confirmation sent by e-mail.
3.3 The text of the contract is available in its current version for review before placing the order. Any amendments to the T&C apply only to future orders and not to contracts already concluded.
4. Order and Contract Declaration
4.1 Orders are placed exclusively via the online Shop. During the order process, the Customer must complete the following steps: selection of the Product(s), entry of the required information, verification of the order, and selection of the payment method.
4.2 Upon completion of the order, the Customer will receive an automatic order receipt by e-mail. This receipt does not constitute an acceptance of the order.
4.3 The contract is formed when the Customer receives the order confirmation sent to the e-mail address provided during the order process.
5. Prices and Payment Terms
5.1 All prices are quoted in Euros and include the applicable statutory VAT unless explicitly stated otherwise.
5.2 Shipping costs are shown separately during the order process and are to be borne by the Customer in addition to the Product prices.
5.3 The following payment methods are available:

- Advance Payment (Prepayment)
- Credit Card
- PayPal
5.4 In the event of late payment, statutory default interest as well as a fixed reminder fee may be charged.

6. Delivery
6.1 Delivery is made exclusively to the delivery address provided by the Customer. Deliveries are made both nationally and internationally.
6.2 Shipping is carried out insured via DHL. Partial shipments are possible, subject to product availability. Delivery times displayed during the order process are indicative and not binding.
6.3 The risk of accidental loss or deterioration of the delivered Products passes to the Customer upon handover of the Products to the Customer or the first carrier, unless otherwise agreed.
7. Retention of Title
The delivered Products remain the property of the Seller until full payment of all claims arising from the contract has been received.
8. Additional Services
Upon request, the Seller is pleased to offer installation and technical consulting services through partner companies. Please use the contact form on the website to request further information or to arrange for these services.
9. Returns, Complaints, and Warranty
9.1 The statutory warranty rights apply.
9.2 In the event of returns, complaints, or warranty claims, please contact us. We will advise you on the available options.
9.3 Unless otherwise expressly agreed, the usual statutory warranty provisions applicable to spare parts shall apply. No deviations from these standard conditions are intended, although exceptions cannot be completely ruled out.
10. Data Protection
The collection, processing, and use of personal data is carried out solely in accordance with the applicable data protection laws. Further details are provided in our Data Protection Policy.
11. Intellectual Property
All content, images, graphics, texts, trademarks, and logos displayed on the website are protected by copyright. Any use or reproduction requires the express written consent of the Seller.
12. Force Majeure
The Seller shall not be liable for delays or failures to perform that are caused by events of force majeure (e.g., natural disasters, war, strikes).
13. Final Provisions
13.1 The contract between the Seller and the Customer is governed exclusively by the law of the Federal Republic of Germany.
13.2 The place of jurisdiction for all disputes arising from the contractual relationship is, where the Customer is a merchant, the registered office of the Seller, unless the Customer has no general jurisdiction in Germany.
13.3 Should any provision of these T&C be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
